SSR Mining to Buy Roxmore Resources for Nearly $500 Million

SSR Mining agreed to acquire Roxmore Resources for about C$712 million (US$498.5 million) in cash and shares of a new exploration company. The deal adds the Converse gold project in Nevada, adjacent to SSR's Marigold mine, with 2.2 million ounces of indicated and 3.0 million ounces of inferred gold resources. SSR expects Converse to contribute 150,000–170,000 ounces of annual gold production starting in 2033, with life-of-mine synergies exceeding $200 million. Initial capital is estimated at $800–$900 million, with no material spend until the early 2030s. The transaction is funded from existing cash and is expected to be accretive to per-share metrics. Roxmore's board unanimously approved the deal, and shareholders representing about 27% of shares have committed to vote in favor.
